TORONTO, Oct. 23, 2020 - The Green Organic Dutchman Holdings Ltd. (the "Company" or "TGOD") (TSX: TGOD) (US: TGODF), a leading producer of premium certified organically grown cannabis, is pleased to announce that it has closed its previously announced short form prospectus offering, on a bought deal basis, including the full exercise of the underwriter's over-allotment option. A total of 53,263,400 units of the Company (the "Units") at a price per Unit of $0.24 were issued for aggregate gross proceeds of approximately $12.75 million (the "Offering"). The Offering was conducted by Canaccord Genuity Corp.
Each Unit is comprised of one common share (each a "Common Share") and three-quarters of one common share purchase warrant of the Company (each whole common share purchase warrant a "Warrant"). Each Warrant entitles the holder to acquire one common share of the Company for a period of 60 months from closing of the transaction at an exercise price of C$0.30 per Warrant. The Warrants are trading under the symbol "TGOD.WA".
The Company will use the proceeds of the Offering to repay indebtedness previously incurred in the construction of its facilities in Ancaster, Ontario and Valleyfield, Quebec, and other payables.
